1. Commercial Terms for Trade Buyers
These Terms & Conditions govern the commercial relationship between TshirtPlain.in (referred to as 'seller' or 'we') and trade buyers (referred to as 'purchaser' or 'you'), establishing the foundation for all transactions unless alternate written agreements are explicitly negotiated and executed. Placing an order with TshirtPlain.in confirms your acceptance of these terms and your agreement to be bound by them.

2. Ordering and Minimum Order Quantity (MOQ)
All orders must comply with the applicable MOQ for the selected product category, style, size distribution, and color selection, which is detailed in product documentation and quotations. MOQs vary by product complexity and typically range from 25-100 pieces depending on the category. Orders failing to meet the stated MOQ may be rejected or incur additional processing charges to account for production inefficiencies. Customized MOQs can be negotiated for ongoing supply relationships, mixed product orders, or long-term agreements through written contracts signed by authorized representatives of both parties.

3. Price, Quotation Validity, and Payment Terms
Prices are stated in formal quotations and are exclusive of applicable taxes (GST, service tax) and freight charges unless explicitly noted otherwise. Quotation price validity is clearly specified (typically 7-15 days) and subject to confirmation of availability. New buyers typically require advance payment or a substantial deposit (usually 50% of order value) to initiate production or reserve inventory. Established buyers with verified creditworthiness may be extended credit facilities following completion of credit evaluation and execution of documented credit terms and conditions. Accepted payment instruments include bank transfers (NEFT/RTGS/IMPS), demand drafts, documentary credits (LC), and other mutually agreed payment methods. Payment timelines, deposit requirements, and credit terms are clearly defined in sales contracts and order confirmations.

4. Delivery, Dispatch, and Risk Transfer
Goods are dispatched within agreed lead times, which accommodate both stock availability and production schedules as communicated in order confirmations. Standard lead times range from 7-15 business days for in-stock items to 3-5 weeks for large-volume or customized orders. Large consignments may be partially shipped and invoiced separately by mutual agreement. Risk of loss or damage to goods transfers to the buyer upon dispatch from our warehouse or designated shipping point, unless a different Incoterm or contractual arrangement is specifically agreed in writing. Buyers are responsible for import duties, local taxes, customs clearance procedures, and any associated costs for international shipments.

5. Inspection, Claims, and Returns
Buyers must thoroughly inspect goods upon receipt and report any claim regarding damage, shortage, quality non-conformity, or specification discrepancies within the specified claim window (typically 7 days from delivery date) detailed in sales documents and order confirmations. Claims require supporting evidence including high-resolution photographs clearly showing the issue, batch identification details, quantity affected, and detailed description of the problem. Following verification and investigation, TshirtPlain.in will propose appropriate remediation which may include replacement shipment of defective goods, partial credit or invoice adjustment for minor issues, or full refund for unusable batches subject to material return. Unsubstantiated claims or those filed outside the specified timeframe may be declined and could affect future commercial terms.

6. Limitation of Liability and Indemnity
TshirtPlain.in's liability for any claims arising from product defects, quality issues, or supply disruptions is strictly limited to the invoice value of the affected goods only. The seller shall not be liable for any indirect, consequential, or incidental losses, including but not limited to lost profits, business interruption, loss of business opportunity, reputational damage, or third-party claims, unless mandated by applicable statute or law. Buyers agree to indemnify and hold harmless TshirtPlain.in against any claims, damages, or liabilities arising from improper product use, incorrect printing methods, mishandling during storage or processing, or unauthorized modifications to the supplied garments.

7. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions or restrictions, labor disputes, material shortages, transportation disruptions, or other force majeure events. In such circumstances, affected parties must provide prompt notification and make reasonable efforts to minimize impact and resume performance as soon as practicable.

8. Governing Law and Dispute Resolution
These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these terms, orders, or business relationships shall be subject to the exclusive jurisdiction of courts located in Delhi, India, unless otherwise mutually agreed in writing. Both parties are encouraged to pursue amicable resolution through good-faith negotiation and mediation before initiating formal legal proceedings. Any modifications to these terms must be made in writing and signed by authorized representatives of both parties.
